Terms of Service

ClauseShift analyzes contracts and produces plain-English, informational risk summaries to help you understand an agreement faster. ClauseShift is not a law firm and does not provide legal advice, and using it does not create an attorney-client relationship. Its output may be incomplete or wrong and must not be relied on as a substitute for review by a qualified legal professional. Decisions you make based on ClauseShift are your responsibility.

You must be at least 16 years old and able to form a binding contract to use ClauseShift. You are responsible for the activity under your account and for keeping your login credentials secure. Provide accurate information and notify us of any unauthorized use.

You agree not to:

• Use ClauseShift for any unlawful purpose or in violation of these Terms.
• Upload content you do not have the right to submit, or that infringes the rights of others.
• Attempt to disrupt, overload, reverse-engineer, or gain unauthorized access to the service or its systems.
• Resell or redistribute the service without our written permission.
• Use automated means to access the service beyond reasonable, permitted use.

You keep ownership of the contracts and content you submit. You grant us a limited license to process that content solely to provide the service to you, including sending it to the AI and transcription providers that perform the analysis, as described in our Privacy Policy. You are responsible for ensuring you have the right to submit the content.

• ClauseShift offers a free tier with a monthly limit, paid subscriptions, and pay-as-you-go credits. Current pricing is shown in the app and may change.
• Subscriptions renew automatically for the chosen period until cancelled. You can cancel at any time; access continues until the end of the current paid period.
• Payments are processed by our payment provider. Except where required by law, payments and credits are non-refundable.
• Credits may expire or be subject to limits as described in the app.

You may stop using ClauseShift and delete your account at any time from your settings. We may suspend or terminate access if you breach these Terms or use the service in a way that risks harm to others or to the service. On termination, your right to use ClauseShift ends; sections that by their nature should survive (such as disclaimers and limitation of liability) will continue to apply.

ClauseShift is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any analysis will be complete or correct.

To the maximum extent permitted by law, ClauseShift and Monsiu Tech Solutions will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising from your reliance on the service or its output. Our total liability for any claim relating to the service will not exceed the greater of the amount you paid us in the twelve months before the claim or USD 50.

You agree to indemnify and hold harmless ClauseShift and Monsiu Tech Solutions from claims, losses, and expenses arising out of your content, your use of the service, or your violation of these Terms.

We may update, add, or remove features, and we may revise these Terms from time to time. When we make material changes we will update the date above and, where appropriate, notify you. Continuing to use ClauseShift after changes take effect means you accept the revised Terms.
